Terms of Service

1. Scope of Service

Mediaslide is a software-as-a-service (SaaS) solution designed to streamline and enhance the operations of modeling agencies, comedian agencies, artist agencies, photographer agencies, and casting directors. It provides a centralized platform for managing files, photos, clients, contacts, database, schedules, and bookings, ensuring efficient organization and seamless collaboration.

2. License Grant

Mediaslide grants you a non-exclusive, non-transferable license to utilize the Mediaslide software and services solely for the purpose of managing your business. This license is not transferable to any third party and cannot be sub-licensed.

3. Acceptable Use

In accordance with applicable laws and regulations, you agree to use the Mediaslide software and services responsibly. You shall not use the platform to engage in any of the following activities:

Storing or transmitting illegal or harmful content, including malware, viruses, or spam.
Infringing upon the intellectual property rights of others.
Violating the privacy of individuals by accessing, storing, or sharing personal information without proper authorization.
Disrupting or interfering with the functionality of the Mediaslide software or services, which may affect the experience of other users.

4. Fees and Payment

You are responsible for paying the monthly fees specified in the order form. Payments are due in advance on the first day of each month. Failure to make timely payments may result in suspension of your access to the Mediaslide software and services.

5. Term and Termination

This agreement shall commence on the date of the order form and remain in effect for a period of 12 months. Unless either party terminates the agreement in writing at least 3 months prior to the end of the current term, it will automatically renew for successive 12-month periods. Mediaslide may also terminate this agreement if you breach any of its terms or conditions.

6. Intellectual Property

Mediaslide retains full ownership and intellectual property rights to the Mediaslide software and services. You agree not to copy, modify, or distribute the software or services without Mediaslide’s express written consent.

7. Disclaimer of Warranties

Mediaslide provides the Mediaslide software and services on an “as is” and “as available” basis. Mediaslide explicitly disclaims any warranties, expressed or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Mediaslide be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Mediaslide software and services. The total cumulative liability of Mediaslide under this agreement shall not exceed the total fees paid by you during the preceding 12 months.

9. Governing Law and Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of France. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Paris, France.

10. Entire Agreement

This agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

11. Severability

If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck from this agreement and the remaining provisions shall remain in full force and effect.

12. Waiver

No waiver of any provision of this agreement shall be effective unless in writing and signed by both parties.

13. Notices

All notices and other communications under this agreement shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

The headings in this agreement are for convenience only and shall not affect its interpretation.
